This document outlines the Terms and Conditions that will govern the use of Identifize LLC’s platform once it is made publicly available. At present, the app is in a private testing phase and is not accessible for public use or consumption.
We are sharing our Terms and Conditions in advance to provide transparency into our policies and user protections. User privacy and data security are core to our product philosophy, and we are taking a measured approach to how data is collected, used, and communicated—particularly around consent and notifications.
These Terms will be finalized and published upon public launch, with any necessary updates incorporated based on testing outcomes and ongoing legal review.
IDENTIFIZE LLC – TERMS AND CONDITIONS

1. INTRODUCTION AND ACCEPTANCE
Welcome to Identifize LLC (“Identifize,” “we,” “us,” or “our”). These Terms and Conditions (“Terms”) govern your use of our digital identity services, including our website, mobile applications, and connected physical products (the “Services”), as well as related items such as cards, tags, wearables, and stickers (collectively, the “Products”). By using our Services, you agree to be bound by these Terms. If you do not agree, you may not access or use the Services.
2. DEFINITIONS
“Services” includes all web platforms, mobile applications, Help Center content, and connected services provided by Identifize LLC. “Products” refers to physical goods offered by Identifize, including but not limited to ID tags, wristbands, and NFC/QR-encoded items. “User” or “You” means anyone accessing or using the Products or Services. “Content” encompasses data and media such as text, graphics, images, audio, and video accessed or shared via the Services. “Digital Identity” refers to a user-created profile that connects personal or object-based information to our Products and Services.
3. ELIGIBILITY REQUIREMENTS
To use our Services, you must be able to form a legally binding contract. If registering on behalf of a business, you must have legal authority to bind that entity. Children under 13 require verified parental consent to use the Services.
By providing parental consent, guardians agree to be fully responsible for and monitor the child’s use, accept liability for all actions taken by the child, and be subject to all limitations of liability on the child’s behalf. Accounts previously terminated by Identifize LLC are not eligible for re-registration.
4. COMMUNICATION POLICY
Identifize communicates with users through email and SMS for 2FA, transactional, informational, and consent-based purposes. All communications related to updates, alerts, and emergency information will require your proof of consent where legally necessary. You will have the ability to manage communication preferences in your account settings.
4.1 Email Communications
By creating an account or providing your email address, you agree to receive essential account notifications, product updates, service notices, and support communications. These emails are necessary to maintain your account and use of the Services. You may also opt in to receive promotional emails. You can unsubscribe from marketing emails at any time via the unsubscribe link included in the message.
4.2 SMS Communications
You may choose to receive SMS messages for account alerts and other service-related notices. 2FA will be required for account verification. All SMS messages are subject to your explicit opt-in consent. Identifize will provide clear opportunities to consent to these messages during onboarding or within your account settings. You can opt out of SMS communications at any time by replying STOP or by updating your preferences in your account. Standard messaging and data rates may apply.
5. PROHIBITED USES
You agree not to copy, distribute, republish, or alter any aspect of the Services; reverse-engineer, extract, or decompile the Service or its code; overload our servers using automation or bots; transmit spam, viruses, or malicious code; harvest personally identifiable information without consent; impersonate others or misrepresent affiliations; interfere with service operations or security protocols; circumvent access restrictions or provide false age/location data; or promote or engage in any activity that violates these Terms or applicable laws, including but not limited to trafficking, stalking, or fraud.
6. PRIVACY AND DATA HANDLING
Your privacy is important to us. Please refer to our Privacy Policy for a detailed explanation of how we collect, use, store, and disclose your information. We may collect personal and sensitive data to operate the Services, including but not limited to names, health information, contact details, and location data. You grant Identifize the right to process this data solely for purposes consistent with the operation and improvement of the Services. Identifize is not a covered entity under HIPAA and does not guarantee HIPAA compliance but strives to handle health data responsibly.
7. ACCOUNT SECURITY
You are responsible for safeguarding your login credentials. You agree not to share your account or password with others. You must notify us immediately if you suspect unauthorized use of your account. Use of 2FA is strongly recommended and may be required for certain Services.
8. LIMITATION OF LIABILITY
To the fullest extent permitted by applicable law, Identifize LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill. In no event shall our total liability exceed the amount paid by you for the Services during the twelve (12) months preceding the event giving rise to the claim.
9. DISCLAIMER OF WARRANTIES
The Services and Products are provided “as is” and “as available.” Identifize makes no warranties, express or implied, including but not limited to merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee the accuracy, completeness, or reliability of the Services. Use of the Services is at your sole risk.
10. SUSPENSION AND TERMINATION
We reserve the right to suspend or terminate your account at our sole discretion for any violation of these Terms or misuse of the Services. Upon termination, your access will be revoked, and data associated with your account may be deleted.
11. CHANGES TO THE SERVICE
We may modify or discontinue all or part of the Services at any time. Where feasible, we will provide notice via the Services or by email. Continued use after changes constitutes acceptance of the updated Terms.
12. INTELLECTUAL PROPERTY
All content, trademarks, logos, and proprietary technologies are owned by or licensed to Identifize LLC. You may not use, copy, or distribute any intellectual property without prior written consent. Unauthorized use may result in legal action.
13. MOBILE APPLICATION LICENSE
Subject to your compliance with these Terms, Identifize grants you a limited, non-exclusive, non-transferable, revocable license to download and use our mobile applications solely for personal or business use. You agree to comply with the terms of the Apple App Store or Google Play Store, as applicable. You may not reverse-engineer, modify, or distribute our mobile applications. Identifize may push updates to improve performance or fix bugs, which you agree to install.
14. BETA SERVICES
We may offer access to certain features, products, or services that are in a pre-release or testing phase (“Beta Services”). Beta Services are provided “as is,” may contain errors, and are used at your own risk. We may discontinue Beta Services at any time and make no guarantees of future availability. Identifize disclaims all warranties and liabilities related to Beta Services.
15. USER-GENERATED CONTENT
You may have the ability to upload or submit content, including personal data, images, or other materials (“User Content”). You retain ownership of your User Content. You represent that your content does not violate any laws or infringe third-party rights. Identifize will not use, display, or distribute your User Content for service delivery or any other purpose without your explicit consent. We reserve the right to remove any content at our discretion.
16. INDEMNIFICATION
You agree to defend, indemnify, and hold harmless Identifize LLC and its affiliates, officers, agents, and employees from any claims, damages, obligations, losses, liabilities, costs, or debt arising from your use of and access to the Services; your violation of any term of these Terms; or any claim that your User Content caused damage to a third party.
17. NO PROFESSIONAL ADVICE
The Services are not intended to provide professional, medical, legal, or emergency advice. Any information made available is for general informational purposes only. You should consult a qualified professional for specific advice related to your situation.
18. DISPUTE RESOLUTION AND GOVERNING LAW
These Terms shall be governed by the laws of the State of California, without regard to its conflict of laws principles. You agree to resolve any dispute through binding arbitration in San Francisco County, California.
19. SATISFACTION GUARANTEE
Identifize LLC is committed to your satisfaction. If you are not completely satisfied with your purchase of a Product, you may request a refund or replacement within 30 days of delivery. To initiate a request, contact support@identifize.co with your order details and reason for dissatisfaction. Refunds or replacements are subject to reasonable use and condition of the Product. This guarantee applies only to physical Products and does not extend to Services, unless otherwise stated.
